Terms of Service

The terms that govern your organization's access to and use of Paceline Mobile's managed SIM and eSIM connectivity services.

This document is a general template provided for informational purposes and should be reviewed by legal counsel before publication.

Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the services provided by Paceline Communications LLC ("Paceline," "we," "us," or "our") under the Paceline Mobile brand. By accessing or using the services, or by entering into an order or agreement that references these Terms, you ("Customer") agree to be bound by these Terms. If you do not agree, do not use the services. If you enter into these Terms on behalf of an organization, you represent that you are authorized to bind that organization.

Description of Services

Paceline provides managed SIM and eSIM connectivity to organizations. The services may include provisioning of physical SIMs and eSIM profiles, subscriber lifecycle administration, policy and access configuration, connectivity plans, and operational reporting, as described in the applicable order or agreement. Connectivity is delivered over underlying network and carrier partners.

Eligibility

The services are offered solely to organizations for business and operational purposes. The services are not offered to consumers and are not intended for personal, family, or household use. By using the services, Customer represents that it is an organization and that it is accessing the services in that capacity.

Customer Responsibilities

Customer is responsible for:

  • Providing accurate, current, and complete information for account setup and administration;
  • Using the services lawfully and only for legitimate business purposes;
  • Complying with these Terms, the Acceptable Use Policy, applicable laws and regulations, and the requirements of underlying carriers;
  • Safeguarding SIMs, eSIM profiles, credentials, and administrative access, and promptly notifying us of any unauthorized use; and
  • The acts and omissions of its personnel, users, and devices that use the services.

Service Availability

We strive to provide reliable connectivity, but we do not guarantee that the services will be uninterrupted, error-free, or available at all times or in all locations. The services depend on underlying networks and carrier partners and on factors outside our control, including coverage, network conditions, and third-party maintenance. Service levels, if any, are as set out in the applicable order or agreement.

Fees and Payment

Fees, charges, billing cycles, and payment terms are as set out in the applicable order or agreement. Unless otherwise stated, fees are exclusive of applicable taxes, surcharges, and regulatory fees, which are Customer's responsibility. Late or non-payment may result in suspension or termination of the services as described below.

Suspension and Termination

We may suspend or terminate all or part of the services if Customer materially breaches these Terms or the Acceptable Use Policy, fails to pay amounts due, uses the services unlawfully, or where required to protect the security or integrity of our services or underlying networks, or to comply with law or carrier requirements. Where practicable, we will provide notice. Termination rights and effects, including any wind-down obligations, are as further described in the applicable order or agreement.

Intellectual Property

Paceline and its licensors retain all right, title, and interest in and to the services, including all related software, documentation, trademarks, and other intellectual property. No rights are granted except the limited right to use the services in accordance with these Terms and the applicable agreement. Customer retains its own data and materials.

Disclaimers

Except as expressly stated in a written agreement, the services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will meet Customer's requirements or operate without interruption or error.

Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of or relating to the services, even if advised of the possibility of such damages. Each party's aggregate liability arising out of or relating to the services will be limited as set out in the applicable order or agreement. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

Customer will defend, indemnify, and hold harmless Paceline and its affiliates, officers, and employees from and against claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or relating to Customer's use of the services, its violation of these Terms or the Acceptable Use Policy, its violation of applicable law or carrier requirements, or the acts or omissions of its personnel, users, or devices.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in California for any dispute arising out of or relating to these Terms, except where otherwise required by law.

Changes to Terms

We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Continued use of the services after an update constitutes acceptance of the revised Terms.
